Groovenod User Agreement
The terms that govern use of Groovenod, Pressings, ownership records, Transfers, and related Service features.

1. Overview
Groovenod Inc. ("Groovenod," "we," "us," or "our") is a collectible music ownership platform built around verified digital Pressings, album artwork, liner notes, artist-to-fan relationships, and a registry that records recognized ownership of eligible Pressings within the Groovenod ecosystem.
By using Groovenod, you agree to this User Agreement (these "Terms") and to any additional terms, rules, or eligibility requirements presented in connection with a specific Pressing, artist campaign, claim flow, Transfer flow, Owner Feature, or other Service offering.
If you do not agree to these Terms, do not use Groovenod.
Defined Terms
"Pressing" means a collectible digital entitlement recognized and administered by Groovenod within the Groovenod ecosystem.
"Service" means the Groovenod application, platform, Vault, ownership registry, access systems, Transfer systems, and related services made available by Groovenod.
"Vault" means the Groovenod experience where eligible users may view, access, and manage recognized Pressings associated with their account.
"GrooveSeal" means Groovenod's verification and trust signal indicating that a Pressing has been recognized and recorded within the Groovenod ownership system as an authenticated digital Pressing.
"Transfer" means the reassignment of a Pressing from one recognized holder to another through the Service, subject to applicable edition rules, eligibility requirements, ownership verification, and Groovenod's Transfer controls.
"Owner Features" means owner-only features, content, experiences, communications, or benefits associated with certain Pressings and made available by Groovenod, the applicable artist, or authorized rights holders.
"Service Records" means records maintained by Groovenod in connection with the Service, including ownership, entitlement, provenance, claim, Transfer, access, verification, issuance, and eligibility records.
"User Content" means content, information, messages, feedback, notes, signatures, initials, names, text, images, or other materials that a user submits, uploads, provides, or contributes through the Service.
2. Eligibility and Account Requirements
You may use Groovenod only if you are legally able to agree to these Terms and are not prohibited from using the Service under applicable law.
If you are under the age required by applicable law to enter into these Terms on your own, you may use Groovenod only with the consent and supervision of a parent or legal guardian. Groovenod may restrict or terminate access where age, consent, account, legal, or rights-holder requirements are not satisfied.
You agree to provide accurate account information and to keep your account information reasonably current. You are responsible for maintaining access to your account credentials, devices, and authentication methods.
You are responsible for all activity that occurs through your account, including claim, Transfer, playback, download, and ownership-verification activity, unless the activity results from Groovenod's error or unauthorized access that you could not reasonably prevent.
3. What Groovenod Provides
Groovenod provides a Vault experience and ownership infrastructure through which eligible users may access, verify, manage, and, where supported, Transfer collectible digital Pressings and related content associated with albums, artists, and editions available through the Service.
A Pressing may include album playback, album artwork, liner notes, edition information, ownership verification, provenance records, serial or edition identifiers where applicable, and other Owner Features made available through Groovenod.
Access to Pressings is based on recognized ownership within the Groovenod registry rather than subscription access to a general music catalog.
Groovenod also supports ownership recognition, issuance records, provenance records, GrooveSeal verification, and Transfer administration for eligible Pressings.
Groovenod is designed to provide collectible music ownership experiences and related Owner Features. Groovenod does not provide investment services, securities trading, cryptocurrency services, or ownership of intellectual property rights in music or related content.
4. Pressings and Ownership
4.1 What You Receive
When you claim or acquire a Pressing through the Service, Groovenod records you as the recognized holder of that Pressing within the Groovenod ownership registry.
A Pressing is intended to function as a collectible music ownership experience similar in spirit to ownership of a physical collectible edition, but administered through the Groovenod Service.
A Pressing represents a digital collectible entitlement recognized and administered by Groovenod. As the recognized holder of a Pressing, you may access the music, artwork, metadata, edition details, serial information where applicable, and other content, features, and benefits associated with that Pressing as described by Groovenod and the applicable artist, label, or rights holder.
Pressings may include Studio Pressings, Fan Pressings, Tour Pressings, Artist Pressings, or other edition types made available through Groovenod.
Ownership of a Pressing within the Groovenod ecosystem is evidenced by the records maintained in the Groovenod ownership registry. The rights, features, and functionality associated with a Pressing are governed by these Terms, any applicable Pressing-specific terms, and the continued operation of the Service.
4.2 What You Do Not Receive
A Pressing does not convey ownership of any copyright, master recording, musical composition, trademark, artwork, or other intellectual property.
A Pressing does not constitute a security, investment contract, financial instrument, or right to future revenue, royalties, profits, or appreciation.
Unless expressly stated in writing by the applicable rights holder, a Pressing does not give you:
- Commercial licensing rights
- Public performance rights
- Synchronization rights
- Distribution rights
The right to upload, copy, sell, remix, sample, reproduce, or commercially exploit the music or artwork
The right to access, use, or distribute a Pressing outside the Groovenod Service except where Groovenod expressly permits such access
Your rights are limited to those expressly granted through the Groovenod Service and associated with the applicable Pressing.
Artists, labels, publishers, licensors, and other rights holders retain their respective rights.
4.3 Pressings as Collectible Entitlements
A Pressing is a collectible entitlement recognized within the Groovenod ecosystem.
Product terms including "ownership," "holder," "edition," "serial number," "provenance," "Vault," "GrooveSeal," and similar terminology describe a Pressing's status within the Groovenod ownership system and the associated user experience.
These product terms do not grant intellectual property rights or ownership of the underlying music or content. Rather, they describe the recognized relationship between a Pressing and its current holder as recorded in the Groovenod registry.
4.4 Dependence on the Service
The meaning, functionality, collectibility, provenance, transferability, and associated benefits of a Pressing depend upon the continued operation of the Groovenod platform and related services.
Groovenod maintains the ownership registry, Transfer system, provenance records, and access controls that support Pressings. If the Service is modified, suspended, discontinued, or if Groovenod's rights relating to a Pressing terminate, some or all associated functionality, benefits, or access may be affected or unavailable.
Groovenod will use commercially reasonable efforts to provide notice of material changes when practicable.
Offline playback and cached content are provided for convenience. Offline downloads remain part of the Groovenod Service and are tied to your Groovenod account and authorized device. They may be removed if you sign out, delete your account, clear downloads, or no longer have access to the associated Pressing under these Terms.
5. GrooveSeal Verification
GrooveSeal verification is Groovenod's verification and trust signal indicating that a Pressing has been recognized and recorded within the Groovenod ownership system as an authenticated digital Pressing.
A GrooveSeal signifies that a Pressing is associated with a recognized edition, ownership record, provenance record, or other verification information maintained by Groovenod. GrooveSeal verification helps users identify Pressings that have been recognized within the Groovenod ecosystem.
Unless expressly stated by Groovenod, GrooveSeal verification does not represent or guarantee:
- Ownership of any copyright, master recording, publishing right, trademark, or other intellectual property
- Artist endorsement of a particular holder
- Future value, appreciation, investment performance, or resale opportunity
- Availability of Owner Features, artist access, Transfers, or other benefits
GrooveSeal verification reflects recognition within the Groovenod system and should not be interpreted as a grant of rights beyond those expressly described in these Terms and the applicable Pressing.
GrooveSeal is intended to protect the integrity of recognized Pressings. Groovenod may update, suspend, remove, or correct GrooveSeal verification where reasonably necessary to address fraud, error, unauthorized activity, rights-holder requirements, legal obligations, security, or platform-integrity concerns. GrooveSeal verification does not permit Groovenod to alter sealed issuance records, edition limits, or provenance history except to correct error, fraud, or unauthorized activity.
6. Transfers
Some Pressings may be eligible for Transfer. Other Pressings may be non-transferable.
A Transfer is recognized by Groovenod only when completed through Transfer functionality or other mechanisms authorized by Groovenod.
Ownership of a Pressing does not necessarily include the right to Transfer that Pressing. Transferability is determined by the rules applicable to the edition, artist, rights holder, and Groovenod's ownership system.
Transfer eligibility may depend on edition rules, artist or label requirements, account status, ownership verification, fraud-prevention measures, technical limitations, legal requirements, and Groovenod policies.
If a Transfer is completed, the recipient may become the recognized holder of the Pressing within the Groovenod ownership registry, and the sender may lose access to the Pressing and any associated Owner Features.
Groovenod maintains records relating to Transfers, ownership history, and provenance. Transfers may affect eligibility for Owner Features, artist-access features, edition benefits, or other functionality associated with a Pressing.
Off-platform sales, promises, screenshots, messages, or private arrangements do not by themselves create a recognized Transfer within the Groovenod ownership registry.
Groovenod may review, delay, restrict, block, reverse, or void Transfers where reasonably necessary to protect users, rights holders, edition integrity, ownership records, fraud-prevention efforts, legal compliance, or platform security.
7. Owner Features and Artist Access
7.1 Owner Features
Certain Pressings may be eligible for owner-only features, content, experiences, communications, or benefits made available by Groovenod, the applicable artist, or authorized rights holders ("Owner Features").
Owner Features may include artist updates, announcements, invitations, early access opportunities, special content, ownership-verification experiences, community participation opportunities, or other features associated with a particular Pressing or edition.
Certain Owner Features may be presented within the Service under names such as "Ownership Verified Artist Access" or similar designations. These features are subject to the eligibility, availability, and participation requirements described in this Section 7.
Owner Features, if offered, are provided as part of the Groovenod Service and are subject to availability, eligibility requirements, artist participation, and continued operation of the platform.
7.2 No Guarantee of Features
Not every Pressing includes Owner Features. The existence, scope, availability, frequency, and duration of any Owner Feature may vary by artist, album, edition type, region, or other factors.
Owner Features are optional benefits associated with certain Pressings and are not guaranteed unless expressly described by Groovenod for a specific offering.
Groovenod and participating artists may modify, suspend, replace, or discontinue Owner Features at any time.
7.3 Ownership Verification
Certain features may require Groovenod to verify that you are the current recognized holder of an eligible Pressing.
Eligibility for Owner Features may terminate if you Transfer, lose, or otherwise cease to hold the applicable Pressing.
Groovenod may use its ownership registry and Service Records to determine eligibility for Owner Features and related experiences.
Groovenod may confirm eligibility, ownership-verification status, or aggregate participation information to artists or authorized rights holders without providing a user's personal contact information.
7.4 Artist Communications and Contact
From time to time, Groovenod may facilitate communications between artists and eligible Pressing holders. Such communications may include announcements, updates, invitations, surveys, messages, or other artist-initiated interactions.
Participation in artist communications may require an additional user opt-in where supported or required by Groovenod, applicable law, or the design of the feature.
Groovenod will not share a user's personal contact information with artists, rights holders, or other Owner Feature participants through Owner Features or Ownership Verified Artist Access.
Artists are not obligated to provide communications, experiences, access, or engagement opportunities, and the absence of such participation does not affect the validity of a Pressing or the ownership rights associated with it.
7.5 Platform Dependence
Owner Features derive their availability, functionality, and value from the Groovenod platform and the participation of artists and rights holders. As a result, Owner Features may be unavailable, modified, or discontinued if the Service changes, if artist participation changes, or if Groovenod's rights relating to a Pressing terminate.
The existence of a Pressing does not guarantee any particular Owner Feature, artist interaction, future benefit, ongoing experience, or level of artist participation beyond those expressly provided through the Service.
8. Limited License to Use the Service
Subject to these Terms, Groovenod grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Service and to access eligible Pressings, content, and Owner Features through the Service as permitted by Groovenod.
Any artist, label, rights-holder, campaign, administrative, or other platform use may be subject to separate agreements or permissions from Groovenod.
This right is a license to use the Service. It is not a sale, assignment, or transfer of Groovenod software, platform technology, Service Records, music, artwork, metadata, trademarks, or other intellectual property.
You may not copy, modify, reverse engineer, decompile, scrape, archive, distribute, sell, rent, sublicense, or otherwise misuse the Service, except where expressly permitted by Groovenod or applicable law.
Groovenod may suspend, limit, or revoke this license if you violate these Terms, interfere with the Service, misuse Pressings or Service Records, violate rights-holder requirements, or create legal, security, fraud, or platform-integrity risk.
9. User Content, Liner Notes, and Contributions
You are responsible for User Content you submit, provide, or contribute through the Service. You should not submit User Content unless you have the rights and permissions needed to do so.
You retain whatever rights you may have in your User Content. By submitting User Content through the Service, you grant Groovenod a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, reproduce, display, publish, preserve, transmit, modify for formatting or technical purposes, and otherwise use that User Content as reasonably necessary to operate, provide, secure, improve, and administer the Service, Pressings, Owner Features, ownership records, collectible records, and related platform functionality.
For User Content submitted as part of a Pressing, release, Sealed Liner Note, collectible contribution, ownership experience, artist interaction, or other Service feature, this license includes the right for Groovenod to preserve and display the User Content as part of the associated release, Pressing, ownership history, provenance, collectible artifact, or Service Record, subject to the functionality and rules applicable to that feature.
Before sealing a Liner Note, users should review it carefully. Sealed Liner Notes are intended to be permanent, like writing inside an album jacket with permanent ink. Once sealed, a Liner Note cannot be edited, deleted, withdrawn, or replaced by the user.
Sealed Liner Notes may be visible to other recognized holders of the applicable Pressing and to the artist or authorized rights holder associated with that Pressing, as supported by the Service.
Users should not include sensitive personal information in Sealed Liner Notes or other permanent collectible contributions unless they understand that such content may remain associated with the applicable Pressing or collectible record.
Users may report potentially inappropriate, infringing, abusive, or otherwise problematic Liner Notes or User Content through the reporting tools or support channels made available by Groovenod.
Groovenod may use automated, manual, or reporting-based processes to review, filter, flag, hide, restrict display of, or decline display of User Content that may violate these Terms, applicable law, rights-holder requirements, platform rules, app store requirements, or the intended collectible nature of the Service. For Sealed Liner Notes and similar permanent collectible contributions, hiding or restricting display does not necessarily delete the underlying collectible record.
10. Feedback and Suggestions
If you send Groovenod comments, ideas, suggestions, bug reports, feature requests, or other feedback, you agree that Groovenod may use that feedback without restriction or compensation to you.
This Section applies to product, support, technical, operational, or business feedback provided to Groovenod, and does not change the treatment of Sealed Liner Notes or other User Content submitted as part of a Pressing or collectible feature.
Feedback does not create any obligation for Groovenod to develop, release, maintain, or modify any feature, product, service, Pressing, Owner Feature, or platform functionality.
11. Payments, Refunds, Taxes, and External Purchase Channels
Groovenod may facilitate access to Pressings through purchases, claims, Transfers, invitations, promotions, artist campaigns, or other authorized acquisition methods.
Where a Pressing is acquired through a third-party offer, artist campaign, external purchase channel, Transfer, or promotional program, payment, refund, cancellation, tax, chargeback, dispute, and related transaction matters may be governed by the terms and policies applicable to that offering, payment processor, artist campaign, or purchase channel.
Unless otherwise expressly stated by Groovenod, acquisition of a Pressing does not guarantee eligibility for refunds, exchanges, credits, resale, Transfer, or continued access to any specific feature.
Groovenod may from time to time offer additional services, features, or acquisition methods through the Service. Any payment, billing, subscription, purchase, refund, or tax terms applicable to such offerings will be disclosed at the time of purchase or enrollment.
Certain Pressing offers, artist campaigns, purchases, or checkout flows may occur outside the Groovenod app, including through Groovenod web pages or authorized external purchase channels. After a purchase or acquisition is completed and verified, Groovenod may create, issue, mint, or recognize the applicable Pressing and associate it with the Groovenod account, email address, or identifier used for the purchase or claim.
Groovenod may require proof of purchase, claim eligibility, payment confirmation, authorized claim credentials, or other verification before recognizing access to a Pressing.
Groovenod QR scanning features inside the app recognize supported Groovenod claim, Transfer, or verification credentials and do not route users to external purchase offers through the app.
Groovenod may work with payment processors and other service providers to process transactions, prevent fraud, manage disputes, and comply with accounting, tax, legal, and rights-holder requirements.
You are responsible for any taxes, fees, carrier charges, currency conversion costs, or other amounts that may apply to your purchase, claim, Transfer, or use of the Service, except where Groovenod expressly states otherwise.
12. Account Responsibilities
You are responsible for maintaining access to your Groovenod account and for keeping your sign-in credentials, devices, and authentication methods secure.
You should notify Groovenod promptly if you believe your account, credentials, device, claim credentials, or Transfer credentials have been lost, stolen, compromised, or used without authorization.
You may not use Groovenod to commit fraud, abuse claim, acquisition, ownership verification, or Transfer systems, bypass access controls, scrape content, interfere with the Service, manipulate ownership records, impersonate another person, create misleading ownership records, attempt to obtain access to a Pressing to which you are not entitled, or violate the rights of artists, labels, rights holders, Groovenod, or other users.
Because Pressings, ownership records, provenance records, and Transfer history are maintained through the Groovenod Service, users must provide accurate information and may not attempt to falsify, circumvent, or interfere with Service Records.
Groovenod may suspend, restrict, investigate, reverse, or terminate account access, claims, Transfers, or other activity where reasonably necessary to protect users, artists, rights holders, platform integrity, security, ownership records, or legal compliance.
13. Account Deletion
You may initiate account deletion from the System tab in the Groovenod app.
If you need help understanding the account deletion process, you may contact Groovenod at support@groovenod.com. For security reasons, Groovenod may require account deletion or other sensitive account actions to be initiated from within an authenticated Groovenod account.
Groovenod will process account deletion requests in accordance with applicable law, these Terms, the Privacy Policy, and any ownership-resolution requirements that apply to Pressings associated with the account.
Certain Pressings may be transferable and may represent collectible, scarcity-bearing editions whose ownership history and provenance are maintained within the Groovenod ownership registry.
To preserve edition integrity, ownership history, provenance, and collectible scarcity, an account that holds transferable Pressings may not be eligible for deletion until those Pressings have been Transferred or otherwise disposed of in accordance with the rules applicable to those Pressings.
Non-transferable Pressings, including Studio Pressings and other editions designated by Groovenod as non-transferable, may be removed from the account as part of the account deletion process.
Groovenod may require users to resolve ownership of transferable Pressings before completing account deletion. For purposes of account deletion, resolving ownership may include transferring, gifting, or otherwise disposing of a transferable Pressing through mechanisms permitted by the Service. If transferable Pressings remain associated with an account, Groovenod may delay, restrict, or deny deletion until the ownership requirements for those Pressings have been satisfied.
Deleting your account removes your ability to sign in and access the Service through that account. Your profile information, preferences, and associated access rights may be deleted, anonymized, or otherwise processed in accordance with these Terms and Groovenod's Privacy Policy. Offline downloads stored on your devices may also be removed.
Because Groovenod maintains ownership, entitlement, provenance, and Transfer records for Pressings, certain records may be retained after account deletion where reasonably necessary to preserve edition integrity, ownership history, fraud prevention measures, legal compliance, accounting records, dispute resolution, security obligations, or other legitimate business purposes.
Sealed Liner Notes and similar permanent collectible contributions may form part of the collectible record. Once sealed, Liner Notes are intended to become part of the associated release, Pressing, ownership history, or collectible artifact. Account deletion does not automatically remove, edit, or erase sealed Liner Notes, including any text, signature, initials, name, or other content the user chose to include in the note.
Where feasible, retained records will be anonymized, de-identified, or otherwise separated from personally identifiable information.
Deletion of an account does not guarantee deletion of all historical records associated with a Pressing, entitlement, Transfer, claim, or transaction. Deletion of an account may result in permanent loss of access to Pressings associated with that account. Unless otherwise provided by Groovenod, Pressings associated with a deleted account may not be recoverable, and ownership recognition, eligibility for Owner Features, or other rights associated with the Service may be permanently extinguished.
Groovenod may maintain non-personal ownership and provenance records relating to Pressings after account deletion in order to preserve the integrity of the Groovenod ownership registry.
14. Privacy
Groovenod's collection, use, disclosure, retention, protection, and processing of personal information are described in Groovenod's Privacy Policy, which is incorporated into these Terms by reference. Your use of the Service is also subject to the Privacy Policy.
By using the Service, you acknowledge that Groovenod may collect and process information as described in the Privacy Policy.
The Privacy Policy also describes how Groovenod handles account deletion, retained Service Records, ownership registry records, Sealed Liner Notes, device information, and related privacy choices.
If there is any conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy will control with respect to privacy and data-processing matters.
15. Artist, Label, and Rights Holder Content
Artists, labels, licensors, publishers, and other rights holders are responsible for the content, rights, permissions, and materials they provide to Groovenod.
Groovenod relies on rights granted by artists, labels, licensors, publishers, and other rights holders in order to provide music, artwork, metadata, Owner Features, and related content through the Service.
Groovenod may remove, limit, suspend, replace, or modify access to content, features, or associated materials if required by a rights holder, legal obligation, court order, licensing issue, platform policy, technical limitation, security concern, or other legitimate business reason related to the operation, security, legality, or integrity of the Service.
Where content changes are necessary, Groovenod will use commercially reasonable efforts to preserve the integrity of recognized Pressings, issuance records, edition information, and provenance records where practicable.
The availability of content associated with a Pressing may change over time. Ownership of a Pressing does not guarantee perpetual access to any specific recording, artwork, feature, communication, or other content where Groovenod no longer has the rights or ability to provide such content through the Service.
Groovenod will use commercially reasonable efforts to provide notice of material changes when practicable.
16. Third-Party Services, App Stores, and External Links
The Service may depend on or interact with third-party services, including app stores, payment processors, authentication providers, hosting providers, media delivery providers, communications providers, artist campaign services, web pages, and other services that Groovenod does not control.
Your use of third-party services may be subject to additional terms, privacy policies, fees, refund rules, payment rules, device rules, app store rules, or platform requirements. Groovenod is not responsible for third-party services except to the extent required by applicable law.
Groovenod is not responsible for the availability, security, performance, policies, or practices of third-party services that are not controlled by Groovenod.
If you access Groovenod through a mobile app store or device platform, the applicable app store or platform terms may also apply to your use of the app. These Terms are between you and Groovenod, not between you and any app store, except where app store rules provide otherwise.
17. Copyright and Rights Complaints
Groovenod respects the rights of artists, labels, publishers, licensors, and other rights holders.
If you believe content available through the Service infringes your copyright, trademark, publicity right, or other rights, you may contact Groovenod at support@groovenod.com with information reasonably sufficient for Groovenod to review the complaint.
Groovenod may request additional information before taking action on a rights complaint and may decline to act on incomplete, unsupported, or abusive complaints.
Groovenod may remove, restrict, or disable access to content, Pressings, Owner Features, User Content, or accounts where reasonably necessary to address rights complaints, legal obligations, rights-holder requirements, fraud, abuse, or platform-integrity concerns.
18. Acceptable Use
You may not:
Copy, rip, redistribute, upload, or publicly share Groovenod audio, artwork, liner notes, metadata, or protected content except where expressly allowed
Attempt to bypass access controls, entitlement checks, ownership verification systems, Transfer rules, or offline protections
Use automated tools to scrape, extract, archive, or harvest Groovenod content or Service data
Misrepresent ownership, create fraudulent claims, forge Transfer credentials, manipulate provenance records, or interfere with another user's Vault
Use Groovenod in a manner that violates applicable law, rights-holder requirements, or these Terms
Use the Service to harass, threaten, impersonate, defraud, or harm another person
Upload or submit unlawful, infringing, abusive, deceptive, malicious, or harmful User Content
Submit User Content that includes hate speech, threats, harassment, explicit sexual content, unlawful content, or content that encourages violence or self-harm
Attempt to create, sell, transfer, claim, or verify a Pressing outside mechanisms authorized by Groovenod
Interfere with, disrupt, overload, reverse engineer, probe, scan, or test the vulnerability of the Service or related systems except where expressly authorized by Groovenod
19. Changes to Groovenod
Groovenod may change features, designs, platform mechanics, supported devices, edition displays, claim flows, Transfer flows, and access rules over time.
Groovenod will use commercially reasonable efforts to preserve the integrity of recognized Pressings, ownership records, issuance records, provenance records, GrooveSeal verification, and user trust, but no feature, interface, Owner Feature, communication channel, or platform mechanic should be understood as guaranteed indefinitely unless expressly stated in writing.
Changes to the Service are not intended to alter sealed issuance records, edition limits, or provenance history except to correct error, fraud, unauthorized activity, or other platform-integrity concerns.
20. Suspension, Termination, and Survival
Groovenod may suspend, restrict, or terminate access to the Service, an account, a Pressing, a claim, a Transfer, an Owner Feature, or related functionality where reasonably necessary to protect users, artists, rights holders, platform integrity, security, legal compliance, fraud-prevention efforts, or the operation of the Service.
During a suspension, Groovenod may pause, restrict, or review claims, Transfers, access, verification, downloads, or Owner Features associated with the account or Pressing.
If your access is suspended or terminated, you may lose access to the Service, Pressings, Owner Features, offline downloads, account functionality, ownership recognition, and related content. Certain Service Records may continue to be retained as described in these Terms and the Privacy Policy.
You may stop using the Service at any time, subject to the account deletion, Transfer, registry, and retention rules described in these Terms and the Privacy Policy.
Sections that by their nature should survive termination will survive, including provisions relating to Pressings and ownership, what you do not receive, Service Records, User Content licenses, Sealed Liner Notes, payments, refunds, account deletion, privacy, rights-holder content, acceptable use, disclaimers, indemnification, limitation of liability, governing law, dispute-related provisions, and any other provisions necessary to interpret or enforce these Terms.
21. Export Controls and Sanctions
You may not use the Service if you are prohibited from doing so under applicable sanctions, export control, or trade compliance laws.
You agree not to use, export, re-export, transfer, or access the Service in violation of applicable U.S. or other sanctions, export control, or trade compliance laws.
Groovenod may restrict, suspend, or terminate access where reasonably necessary to comply with sanctions, export control, payment processor, app store, rights-holder, or legal requirements.
22. Disclaimers
Groovenod is provided on an "as is" and "as available" basis to the fullest extent permitted by law.
Groovenod does not guarantee uninterrupted access, error-free playback, availability of every feature, or continued availability of every item of content or functionality where rights, legal, technical, licensing, security, platform-integrity, or operational issues require changes.
To the fullest extent permitted by law, Groovenod disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, or uninterrupted operation.
Groovenod does not guarantee that any particular Owner Feature, artist communication, Transfer capability, interface, playback feature, ownership verification feature, or other Service functionality will remain available for any specific period of time unless expressly stated in writing.
23. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Groovenod and its officers, directors, employees, contractors, service providers, licensors, artists, rights holders, and partners from and against claims, losses, liabilities, damages, costs, and expenses arising out of or relating to your misuse of the Service, violation of these Terms, violation of applicable law, infringement or misappropriation of third-party rights, fraudulent claims, manipulation of ownership records, misuse of Transfers or Transfer systems, your User Content, or attempt to access a Pressing to which you are not entitled.
Groovenod reserves the right to control the defense of any claim subject to indemnification, and you agree to cooperate reasonably with Groovenod in defending the claim.
24. Limitation of Liability
To the fullest extent permitted by applicable law, Groovenod and its officers, directors, employees, contractors, licensors, artists, rights holders, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising out of or relating to the Service, Pressings, Owner Features, content availability, claims, Transfers, GrooveSeal verification, ownership records, artist communications, or use of the Service.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
25. Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms, the Service, Pressings, Transfers, Owner Features, or your use of Groovenod will be governed by the laws of Tennessee, without regard to conflict-of-law rules.
Unless a separate dispute-resolution provision applies, the state and federal courts located in Davidson County, Tennessee will have exclusive jurisdiction and venue over disputes arising out of or relating to these Terms or the Service.
